Terms and Conditions
These terms apply when you use the Growvexra website, create a partner account or buy our services. They form an agreement between you (the business using our services, "you") and Growvexra ("we", "us"). Your signed proposal or order form, if any, forms part of this agreement and takes priority where it differs.
1. Our services
Our team runs marketing and sales automation for your brand — including paid ads in your own ad accounts, email and SMS flows and outreach — and traces the sales we drive to the order. The channels, storefronts and reporting included depend on your plan.
2. Your partner account
- You must give accurate details, be at least 18 and have authority to bind your business.
- Keep your login private. You are responsible for activity on your account.
- Creating an account does not commit either of us to a paid engagement. Paid services start once we have agreed your plan and partnership percentage.
3. Fees
- Monthly plan: Starter $297, Growth $597 or Scale $1,197 per month, charged in advance. Paying quarterly in advance takes 10% off the plan fee.
- Partnership percentage: a percentage of verified sales, agreed with you in writing before work starts. It applies only to sales we can trace to our work.
- Add-ons: priced and charged in advance before work begins. Growth plans include 2 work credits a month and Scale plans 5; unused credits do not roll over to the next month.
- Ad spend: you pay advertising platforms directly from your own accounts. We never hold or mark up your ad budget.
- Prices exclude taxes, which are added where applicable.
4. Verified sales and the refund hold
A sale is verified when it is matched to our work through a tracking link and order sync, a unique discount code, or an Amazon Attribution tag, and it has passed a 14-day refund hold. Orders refunded or cancelled within that window are not billed. The partnership percentage on verified sales is invoiced monthly, and you can see the order behind every billed line.
5. Payment
Invoices are due on receipt. If a payment fails, there is a 7-day grace period, after which we may pause campaigns until the balance is paid. Paused campaigns do not extend your minimum term.
6. Term and cancellation
Paid plans have a 3-month minimum term and then continue month to month. Either of us can cancel with 30 days' written notice after the minimum term. Fees already paid are non-refundable except where the law requires otherwise. The partnership percentage remains payable on sales made before the end date that become verified after it.
7. Your responsibilities
- Give us the access we need (read-only store access and access to your ad accounts) and keep it in place.
- Make sure your products, listings and store comply with the law and with each platform's and marketplace's rules.
- Approve campaign content and offers when we ask, and respond within a reasonable time.
- Do not use our services for unlawful, misleading or restricted products.
8. Results
We work to grow your sales, but results depend on many things outside our control — including your products, pricing, stock, platform rules and the market. We do not guarantee any level of sales, revenue or return on ad spend.
9. Accounts, content and data
- Your ad accounts, store, customer data and brand assets remain yours at all times.
- Campaign materials created specifically for you become yours once paid for. We keep ownership of our own tools, templates and know-how.
- You allow us to use your name and logo in our client lists unless you tell us otherwise in writing.
- We handle personal information as described in our Privacy Policy.
10. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only for this agreement.
11. Liability
Nothing in these terms limits liability that cannot be limited by law. Otherwise, neither of us is liable for indirect or consequential loss, or loss of profit, revenue or data, and our total liability under this agreement is limited to the fees you paid us in the 3 months before the claim arose.
12. Suspension and termination
We may suspend or close an account that breaks these terms, is used fraudulently or puts our service or other partners at risk. You can close your partner account at any time by messaging us.
13. Changes to these terms
We may update these terms. We will tell paying clients at least 30 days before significant changes take effect.
14. Governing law
These terms are governed by the laws of the United States, and any dispute will be decided by courts in the United States.
